Governing Access, Use, and Participation
These Terms & Conditions (“Terms”) govern access to and use of the Etalery platform, websites, dashboards, and related services (collectively, the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms and all referenced policies.
About Etalery
Etalery operates a private, managed, institutional-grade sourcing platform for the global diamond and jewellery industry. The Platform is operated by Etalery and its affiliated entities under a unified holding structure, with principal headquarters in the United Kingdom and operational entities in India.
Eligibility & Access
Access to the Platform is restricted to:
- Institutional buyers
- Corporate entities
- Approved professional users
- Quick- Small Quantity Buyers
- Sellers (Who want to be part of Etalary Consortium)
All users must complete verification and onboarding procedures prior to access. Etalery reserves the right to approve, suspend, or revoke access at its sole discretion.
Platform Use
Users may access the Platform solely for lawful, professional sourcing purposes. Users agree to:
- Provide accurate and complete information
- Maintain confidentiality of access credentials
- Use the Platform in accordance with applicable laws and policies
Managed Marketplace Model
Etalery operates a managed sourcing ecosystem. Accordingly:
- Manufacturer identities may be restricted
- Direct off-platform contact is prohibited
- Inventory access is governed and controlled
- Etalery may curate, restrict, or remove content
These controls are fundamental to Platform integrity.
Prohibited Conduct
Users must not:
- Use the Platform for unlawful purposes
- Circumvent verification, compliance, or governance controls
- Misrepresent identity or authority
- Copy, scrape, or reverse engineer Platform content
- Engage in unethical, fraudulent, or deceptive practices
Intellectual Property
All intellectual property rights in the Platform are owned by or licensed to Etalery. Users receive no ownership rights and may not use Etalery IP without authorization.
Compliance Obligations
Users must comply with:
- Applicable trade and export laws
- AML and anti-corruption requirements
- Etalery’s Code of Conduct
- Privacy Policy, AML Policy, and License Agreement
Failure to comply contitutes a material breach.
Confidentiality
Users must protect all confidential and non-public information accessed through the Platform and use such information only for authorized purposes.
Suspension & Termination
Etalery may suspend or terminate access immediately if:
- These Terms are breached
- Compliance risks arise
- Platform integrity is threatened
Upon termination, all access rights cease.
Disclaimers
The Platform is provided on an “as-is” and “as-available” basis. Etalery does not guarantee:
- Availability or uninterrupted access
- Accuracy of third-party information
- Commercial outcomes of sourcing decisions
Limitation of Liability
To the maximum extent permitted by law, Etalery shall not be liable for indirect or consequential losses. Nothing excludes liability where prohibited by law.
Indemnification
Users agree to indemnify Etalery against claims arising from breach of these Terms, unauthorized Platform use, or violation of laws or third-party rights.
Changes to Terms
Etalery may update these Terms periodically. Continued use of the Platform constitutes acceptance of revised Terms.
Governing Law & Jurisdiction
These Terms shall be governed by applicable laws associated with Etalery’s principal place of business, subject to applicable jurisdictional requirements.
Severability
If any provision is held unenforceable, the remaining provisions remain in effect.
Entire Agreement
These Terms constitute the entire agreement regarding Platform use and supersede prior understandings.
