Etalery operates as a managed, institutional-grade sourcing platform representing a global consortium of verified diamond and jewellery manufacturers.
Etalery does not function as a traditional intermediary or open marketplace. Instead, Etalery provides governed access to inventory aggregated from its consortium of independently owned, verified manufacturers operating under Etalery’s compliance, sourcing, and operational framework.
Under this model:
- Manufacturers participate as members of a verified consortium
- Buyers access inventory through Etalery’s private platform
- Direct buyer–manufacturer interaction is intentionally restricted
- Etalery manages pricing coordination, negotiation workflows, payments, and export execution
- Manufacturer identities and buyer identities remain confidential

All sourcing, purchase, and supply activities conducted through the platform operate within this managed consortium framework.
Supply Terms & Conditions
These Supply Terms govern the supply of Goods by verified manufacturers and suppliers to Etalery. By accepting a purchase order or supplying Goods to Etalery, the Supplier agrees to be bound by these Supply Terms.
Scope & Relationship
These Supply Terms apply to all Goods supplied by the Supplier to Etalery, whether listed on the Platform, supplied pursuant to confirmed orders, or delivered to Etalery’s designated export hub.
The Supplier acts as an independent contractor. Nothing herein creates a partnership, agency, or joint venture.
Etalery acts as the buyer of record and exporter of record for all Goods supplied under these Supply Terms.
Supply Model & Commercial Structure
All Goods shall be supplied exclusively to Etalery, not directly to any buyer or third party.
Etalery shall: Receive Goods at its designated export hub in India; Handle export documentation, logistics, and international shipment; Manage buyer relationships, pricing negotiations, and payment collection.
The Supplier shall not: Contact buyers directly; Disclose buyer information; Engage in off-platform transactions. Violation constitutes a material breach.
Purchase Orders & Acceptance
Etalery shall issue formal purchase orders (“POs”) specifying: Description of Goods; Quantity and specifications; Agreed commercial value; Delivery timelines.
A PO becomes binding only upon written acceptance by the Supplier.
Verbal confirmations or informal communications are not binding unless documented.
Pricing & Payment
Prices agreed between Etalery and the Supplier are confidential and not linked to buyer-facing indicative prices.
Payment terms: Advance payment by Etalery, unless otherwise agreed in writing; Payment made only after PO confirmation; No cash transactions permitted.
The Supplier acknowledges that: Buyer-facing prices are indicative and subject to negotiation; Etalery retains sole discretion over final buyer pricing and margins.
Delivery & Transfer of Risk
The Supplier shall deliver Goods to Etalery’s designated export hub in India.
Title and risk shall transfer to Etalery only upon: Physical receipt of Goods; Successful quality inspection; Verification of documentation.
Until acceptance, all risk remains with the Supplier.
Quality, Specifications & Inspection
The Supplier warrants that all Goods shall: Match PO specifications exactly; Be free from defects; Be suitable for international export.
Etalery reserves the right to: Inspect Goods upon receipt; Reject Goods that fail quality, grading, or specification standards.
Rejected Goods shall be: Returned at Supplier’s cost, or Reworked/replaced within timelines set by Etalery.
Certifications & Documentation
The Supplier must provide all applicable documentation, including: Diamond grading certificates; Origin declarations; Compliance and authenticity records; Invoices matching PO details.
All documentation must be accurate, complete, and verifiable.
Submission of false or misleading documents constitutes grounds for immediate termination.
Ethical Sourcing & Compliance
The Supplier represents and warrants that: Goods are sourced lawfully; No Goods originate from prohibited or sanctioned jurisdictions; No Russian-origin diamonds or materials are supplied.
The Supplier shall comply with: Ethical sourcing standards; Labour and human rights laws; Anti-money laundering requirements.
Confidentiality & Non-Circumvention
The Supplier shall maintain strict confidentiality over: Etalery’s pricing; Buyer information; Platform operations.
The Supplier shall not: Attempt to identify buyers; Circumvent Etalery’s role; Use Etalery data for competitive purposes.
Returns, Rejections & Adjustments
Etalery may return Goods if: Quality issues are identified; Certification discrepancies arise; Buyer rejection occurs due to non-compliance.
Returned Goods must be: Accepted without dispute; Refunded or replaced promptly.
Repeated quality failures may result in suspension or termination.
Warranties & Indemnities
The Supplier warrants full ownership and right to sell the Goods.
The Supplier shall indemnify Etalery against: Claims relating to origin or authenticity; Certification disputes; Legal or regulatory violations.
Suspension & Termination
Etalery may suspend or terminate the Supplier relationship immediately if: These Supply Terms are breached; Ethical or compliance concerns arise; Quality standards are repeatedly unmet.
Termination does not affect accrued rights or liabilities.
Limitation of Liability
Etalery shall not be liable for: Buyer market fluctuations; Pricing outcomes; Indirect or consequential losses.
Supplier liability is not limited in cases of fraud or willful misconduct.
Governing Law & Jurisdiction
These Supply Terms shall be governed by the laws applicable to Etalery’s operational jurisdiction in India, subject to applicable international trade laws.
Disputes shall be subject to the exclusive jurisdiction of competent courts designated by Etalery.
Entire Agreement
These Supply Terms constitute the entire agreement governing supply of Goods.
Amendments must be in writing and authorized by Etalery.
This structure is further governed by Etalery’s Code of Conduct, Supplier Terms, and Compliance Policies.
Acknowledgement
By supplying Goods to Etalery, the Supplier confirms acceptance of these Supply of Goods Terms & Conditions.
