Terms of Service
These Terms of Service ("Terms") govern access to and use of StoreRelay OS and the storerelayos.etalery.com website (together, the "Service"), provided by Etalery Global UK Ltd ("Etalery", "we", "us", "our"), a company registered in England and Wales. By creating an account, connecting a third-party platform, browsing this website, or otherwise using the Service, the business and individual using it on the business’s behalf (the "Customer", "you", "your") agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. Definitions
- "Account" means the StoreRelay OS account registered by a Customer, including any branch or staff sub-accounts created under it.
- "Customer Data" means data a Customer inputs, uploads, or receives into the Service, including records relating to the Customer’s own customers ("End-Customers").
- "Connected Platform" means any third-party service a Customer chooses to link to the Service, such as Meta (WhatsApp, Instagram, Facebook), Google, LinkedIn, TikTok, e-commerce, email marketing, calendar, telephony, or accounting platforms.
- "Order Form" means the commercial document, membership agreement, or account signup confirming pricing and plan details for a Customer.
2. About the Service
StoreRelay OS is business software for jewellery retailers, providing tools for lead and enquiry management, customer records, appointments, repairs and job tracking, sales logging, staff access controls, reporting, and optional integrations with Connected Platforms. StoreRelay OS may be provided on a standalone basis or bundled with access to the Etalery Connect B2B sourcing marketplace. Etalery is a global provider and the Service may be accessed by Customers and their staff from multiple countries, subject to these Terms applying uniformly regardless of location.
3. Eligibility & Accounts
- The Service is provided for business use by registered jewellery retailers and authorised staff acting on that business’s behalf. It is not intended for personal, household or consumer use.
- You must provide accurate registration information and keep login credentials confidential. You are responsible for all activity under your Account and any sub-accounts you create, and must notify us promptly of any unauthorised use.
- You must be legally authorised to bind the business you register on behalf of, and old enough to enter a binding contract in your jurisdiction.
4. Subscription, Fees & Payment
- Access to StoreRelay OS is provided under the pricing, billing cycle, and plan set out in your Order Form or account agreement. Where StoreRelay OS is bundled with Etalery Connect membership, the fees stated in that membership agreement apply.
- Unless your Order Form states otherwise, subscriptions renew automatically for successive periods matching your billing cycle until cancelled in accordance with your plan’s notice terms.
- Fees are exclusive of applicable taxes, duties, and levies, which you are responsible for unless we are legally required to collect them.
- Except as required by law or expressly stated in your Order Form, fees already paid are non-refundable.
- We may suspend access for accounts with overdue payment after reasonable notice.
5. Your Data & Customer Data
You retain ownership of all Customer Data. You are responsible for:
- Having a lawful basis to collect and process any personal data you input, or that flows into the Service through a Connected Platform;
- Providing your own End-Customers with any privacy notices required by applicable law regarding how their enquiries are handled;
- The accuracy of data you input, and keeping it up to date.
We process Customer Data on your behalf strictly to provide the Service, in accordance with our Privacy Policy and, where applicable, a Data Processing Agreement available on request for business customers who require one.
6. Third-Party Integrations
StoreRelay OS allows you to optionally connect Connected Platforms, including Meta (WhatsApp, Instagram, Facebook Messenger), Google, LinkedIn, TikTok, email marketing platforms, e-commerce platforms, calendar and telephony providers, and accounting software.
Important: connecting a Connected Platform is your choice and is separately governed by that platform’s own terms and privacy policy. Etalery is not responsible for the availability, accuracy, security, or conduct of any Connected Platform. Where a Connected Platform changes or withdraws its API, a related feature may be temporarily or permanently affected, and we will make reasonable efforts to notify affected Customers.
7. Acceptable Use
You agree not to use the Service to:
- Send unsolicited bulk messages, spam, or communications that violate a Connected Platform’s messaging policies (including Meta’s WhatsApp Business Messaging Policy);
- Upload unlawful, fraudulent, defamatory, or infringing content;
- Reverse-engineer, decompile, scrape, resell, sublicense, or provide unauthorised third-party access to the Service;
- Attempt to bypass security controls or interfere with the normal operation of the Service or any Connected Platform;
- Use the Service in any way that violates applicable law in the jurisdiction where you operate.
8. Intellectual Property
Etalery retains all right, title and interest in the Service, including its software, design, documentation, and the StoreRelay OS and Etalery trademarks and branding. These Terms grant you only a limited, non-exclusive, non-transferable right to use the Service for your internal business operations for as long as your Account remains active — no ownership interest is transferred. Any feedback or suggestions you provide about the Service may be used by us without restriction or obligation to you.
9. Confidentiality
Each party may access confidential or proprietary information of the other in connection with the Service. Each party agrees to protect the other’s confidential information with reasonable care and to use it only for purposes of this agreement, except where disclosure is required by law.
10. Service Availability & Support
We aim to keep the Service available and reliable but do not guarantee uninterrupted operation, particularly where a feature depends on a Connected Platform outside our control. We may carry out planned maintenance from time to time and will use reasonable efforts to minimise disruption. Support is provided as described in your Order Form or account onboarding materials.
11. Suspension & Termination
We may suspend or terminate access to the Service where we reasonably believe these Terms have been breached, where required by law, or where a Connected Platform requires it (for example, following a platform policy violation). You may stop using the Service, or request Account closure, at any time by contacting us. On termination, you may request export of your Customer Data within a reasonable period before it is deleted in accordance with our data retention practices; provisions relating to fees owed, intellectual property, confidentiality, warranties, and limitation of liability survive termination.
12. Warranties & Disclaimers
The Service is provided "as is" and "as available". Except as expressly stated in these Terms, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by law, Etalery Global UK Ltd’s aggregate liability arising from or relating to the Service is limited to the fees paid by you for the Service in the twelve (12) months preceding the claim. Neither party is liable for indirect, incidental, special, or consequential loss, including loss of business, profits, goodwill, or data, except where such liability cannot be excluded by law (including for death, personal injury, or fraud).
14. Indemnification
You agree to indemnify and hold Etalery harmless from claims, losses, or damages arising from your breach of these Terms, misuse of the Service, or violation of applicable law or a third party’s rights. We agree to indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party’s intellectual property rights, subject to the limitations in Section 13.
15. Compliance with Laws & Export Control
Each party will comply with applicable laws in connection with its use of the Service, including data protection, anti-bribery, and export control laws. You may not use the Service in violation of UK, EU, or other applicable trade sanctions or export control restrictions.
16. Force Majeure
Neither party is liable for delay or failure to perform obligations (other than payment obligations) due to causes beyond its reasonable control, including natural disaster, war, internet or utility failure, or failure of a Connected Platform.
17. General Provisions
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Severability: if any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: failure to enforce a provision is not a waiver of our right to do so later.
- Entire agreement: these Terms, together with your Order Form and Privacy Policy, form the entire agreement between the parties regarding the Service, superseding prior discussions on the subject.
- Notices: we may provide notices via the Service or to your registered account email; you may contact us using the details in Section 20.
18. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Both parties agree to first attempt to resolve any dispute informally by contacting the other. If unresolved, the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer or local law protections that may apply where you are based.
19. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email to your registered account contact, with reasonable advance notice where practicable. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
